Terms of Service
These Terms set out the conditions of use of "リアツウ" (the "App"), the real-time speech translation, subtitling and meeting-minutes app provided by TopCloud Co., Ltd. (the "Company"). The handling of personal information is set out separately in the Privacy Policy (the "Privacy Policy"), which forms part of these Terms.

1. Scope and Definitions
- These Terms apply to all relations between the Company and the user concerning use of the App. The user is deemed to have agreed to these Terms and the Privacy Policy at the point of confirming agreement to them on the account creation screen.
- Individual notices that the Company posts within the App from time to time form part of these Terms and, where they differ from these Terms, those notices prevail.
- In these Terms, the following words have the following meanings.
| Term | Meaning |
|---|---|
| Service | The App and all services provided by the Company in connection with it |
| User | An individual who agrees to these Terms and uses the Service |
| Account | The entitlement to use the Service that the Company issues per user |
| Session | One continuous unit of translation from the point the user starts it in the App until it ends |
| User Content | Collectively, the audio captured in a Session, the source and translated text, the meeting minutes, and the information the user enters or registers in the App (nickname, profile image and the like) |
| Available Time | The remaining time the Company grants to the user as the time during which the translation features of the Service may be used |
2. Accounts
- Creating an Account and signing in are required in order to use the core features of the Service (real-time translation, subtitle display, and generation and storage of meeting minutes).
- An Account may be created by signing in with an Apple, Google or LINE account, or by registering an email address and a password. The latter requires verification of the email address by means of a verification code sent by the Company. A sign-in method using an email address and a password may be added from the settings screen to an Account created through social sign-in. That is the addition of a sign-in method to an existing Account and not the creation of a new Account.
- The user shall provide true and accurate information when registering and shall hold only one Account for itself. The user must not transfer, lend or sell an Account to a third party or allow a third party to use it. Where the Company determines that multiple Accounts have been created for the purpose of obtaining Available Time or other benefits more than once, it may suspend use or take other measures.
- The user shall manage its password, the account used for social sign-in and verification codes (together, the "Credentials") at its own responsibility and shall not disclose or share them with any third party. Acts of use performed using the Credentials are deemed to be acts of the user of that Account, except where caused by the Company's wilful misconduct or negligence. If there is a possibility that the Credentials have become known to a third party, please change the password immediately or contact the point of contact in Article 15.
- The Company may refuse registration, or cancel it after approval, where the registered information contains falsehoods, errors or omissions, where the application is made by a person who has previously breached these Terms, where the Company determines that there is a risk of the prohibited conduct in Article 7, or where the Company otherwise determines registration to be inappropriate. In such a case the Company is under no obligation to disclose its reasons.
- There is a limit on the number of devices that may be used concurrently on one Account. Where devices are registered beyond that limit, the Company may automatically de-register the oldest registered device. Registered devices can be reviewed and de-registered from the settings screen. Where the Company detects repeated entry of an incorrect password, it may temporarily lock the Account.
3. Use by Minors
- The Service is intended primarily for business use.
- Minors must obtain the prior consent of a parent or other legal representative before using the Service and providing personal information. The App does not verify the age of users.
- Where a minor uses the Service without the consent of a legal representative, the Company may suspend use or take other necessary measures.
4. Content of the Service
- The Company provides the following features as the Service. The supported languages are Japanese, English and Chinese (Simplified).
| Feature | Details |
|---|---|
| Meeting translation | Recognises and translates speech in a meeting in real time and displays it as subtitles |
| Face-to-face conversation translation | Recognises and translates a face-to-face conversation in real time and displays it in both directions |
| Meeting minutes | Generates minutes consisting of a summary, topics, decisions, to-dos and open items from the translated text of a Session. The generated minutes can be edited and revised |
| History | Stores the translated text and the minutes of a Session so that they can be reviewed later |
- Speech recognition, translation and generation of minutes are automated processing by AI models and are not provided after verbatim review of the content by Company personnel. The models used, their providers and the countries in which processing takes place are described in Sections 4 and 5.1 of the Privacy Policy.
- The Company does not warrant the accuracy, completeness, timeliness or fitness for any particular purpose of the results of speech recognition, translation or generation of minutes. Recognition and translation errors, omissions, misattribution of speakers and generation of content that differs from fact (hallucination) may occur. The output of the Service is reference information; where it is used for contractual, medical, legal, safety-management, journalistic or other purposes in which an error could have serious consequences, the user must verify the content at its own responsibility.
- The Service does not warrant that it substitutes for the work of interpreters or translators, nor does it provide translations as certified documents for use in official procedures. It also does not perform speaker identification (identification of individuals by voiceprint or the like). Response times and translation latency vary with the communication environment, device performance, the condition of external services and other factors.
- Use requires a supported device and operating system, permission to use the microphone, and an internet connection. Arranging these, and the data volume and cost involved, are borne by the user. A Session uses the device microphone and, because iOS background audio and an Android foreground service are used, a continuously visible indication is shown on the device.
5. Fees, Free Allowance and Advertising
- The Service is provided to users free of charge. The Company funds its operating costs from advertising revenue, and advertising is displayed in the Service. The user consents to this in advance. Google's advertising service (AdMob) is used to deliver advertising, and the handling of advertising-related information is described in Sections 5.2 and 10 of the Privacy Policy. The content of advertisements is determined by advertisers and advertising providers; the Company is not responsible for that content, and transactions and disputes between an advertiser and the user are to be resolved between those parties.
- The translation features may be used within the Available Time granted to each user. Meeting translation and face-to-face conversation translation consume the same Available Time. Available Time is granted in the following categories.
| Category | Details |
|---|---|
| Grant on registration | On creation of an Account, a certain amount of time is granted with a certain validity period |
| Daily grant | Once per day, a certain amount of time is granted with a certain validity period |
| Holding limit | A limit applies to the balance arising from daily grants, and no grant is made while the limit is reached |
| Grant for watching advertising | For each rewarded advertisement watched to the end, a certain amount of time is granted with a certain validity period. A limit applies to the number of times per day |
- Available Time is consumed in units of 60 seconds while a Session is running. Where it becomes insufficient during a Session, the Company may end or interrupt the Session and may display guidance on obtaining a grant by watching a rewarded advertisement.
- The amount of time, the validity period, the holding limit and the number of advertisements per day that the Company actually applies to each category in the preceding paragraph are subject to change by the Company from time to time. The values actually applied are displayed on the App screens, and that display prevails. Where a change is disadvantageous to users, notice is given in accordance with Article 13.
- Available Time is an entitlement usable only within the Service and has no monetary value. It cannot be exchanged for money, refunded, transferred or moved to another service. It is extinguished upon deletion of the Account, suspension of use or termination of the Service, regardless of any remaining balance, and the Company provides no compensation.
- Rewarded advertising may not be shown depending on advertising inventory, in which case the Company does not make an alternative grant. A grant for a rewarded advertisement is made after the Company has verified the completion notice from the advertising provider. Where the Company detects a grant obtained by automated means, by a notice from a modified application or by any other improper means, it may cancel the grant, deduct Available Time, suspend the Account or take other measures.
- At present the Company does not offer paid plans, subscriptions or in-app purchases. Should they be introduced in the future, the Company will set out the fees and conditions in advance in accordance with Article 13.
6. User Content and Provision to Third Parties in Foreign Countries
- Copyright and other rights in User Content belong to the user or to the third party holding those rights and are not transferred to the Company by these Terms. The user grants the Company a free-of-charge, non-exclusive licence to use User Content solely to the extent necessary to provide the Service (translating audio, displaying subtitles, generating minutes, storage, synchronisation, display as history and display through a sharing link).
- The Company does not use User Content to train its AI models.
- The user represents and warrants that its User Content does not infringe the rights of any third party and that it has the proper authority to provide it to the Service.
- The real-time translation feature works by sending audio directly from the user's device to the speech translation service of Alibaba Cloud located in the People's Republic of China (Beijing region). For generation of minutes, the Company sends the translated text of the Session from its servers in Japan to the same service. This provision to a third party in a foreign country is indispensable to the provision of the core features and, without consent to it, the real-time translation, subtitle and meeting-minutes features cannot be used. The recipient, the country in which it is located, the items of information provided and the method of provision are described in Section 5.1 of the Privacy Policy.
- The consent in the preceding paragraph is recorded as a consent independent of agreement to these Terms and the Privacy Policy. The Company records, per Account, the version of these Terms, the version of the Privacy Policy and the version of the consent to provision to third parties in foreign countries that the user has agreed to, together with the date and time of each consent.
- The Company does not store the audio itself. Audio does not pass through the Company's servers, and what the Company's servers receive is only the text after speech recognition and translation have been completed.
- In the meeting translation feature, the speech of participants other than the user is also captured and transmitted by the routes described above. Responsibility for explaining in advance to those participants how their audio and statements are handled, and for obtaining any necessary consent, rests with the user. The user shall comply with the laws and regulations, the rules of its organisation and the rules of the meeting body that apply to recording, translation and preparation of minutes, and disputes arising with participants are to be resolved at the user's responsibility and expense.
- The user may issue a sharing link for minutes. A sharing link is valid for seven days from issue and can be revoked by the user before it expires. Anyone who knows the sharing link can view those minutes, so the user must manage the issue and the scope of sharing at its own responsibility.
- The Company may review User Content only where required by law, where necessary to respond to improper use of or a failure in the Service, or where there is other legitimate reason. In order for the Company's operations personnel to view translated content or the content of minutes in plaintext, an individual grant of permission must be obtained for each Session concerned with a stated reason, and the grant, its exercise and its expiry are recorded in the audit log.
7. Prohibited Conduct
The user must not engage in, or risk engaging in, any of the following.
- Conduct that violates laws, regulations or public order and morals, and conduct connected with or promoting criminal acts
- Conduct that infringes the intellectual property rights, portrait rights, privacy, reputation or other rights or interests of the Company, other users or third parties
- Capturing, translating or recording the speech of a counterparty to a conversation or a participant in a meeting without their permission, in breach of laws and regulations, the rules of the user's organisation or the rules of the meeting body
- Using the Service by impersonating another person, registering false information, creating multiple Accounts, and allowing another person to use an Account
- In relation to watching rewarded advertising, using automated means, altering communications, or otherwise obtaining Available Time improperly
- Modifying, reverse engineering or decompiling the App or otherwise analysing its internal structure (except to the extent expressly permitted by law)
- Connecting or attempting to connect to the Company's servers or APIs by means other than the App provided by the Company
- Placing an excessive load on the Company's servers or network, and sending large volumes of requests by automated means
- Exploiting a defect or vulnerability in the Service (if you find one, please contact the point of contact in Article 15)
- Reselling, re-providing or otherwise commercially repurposing the Service to third parties without the Company's prior written consent
- Conduct that interferes with the operation of the Service, and conduct that damages the Company's reputation
- Any other conduct that the Company reasonably determines to be inappropriate
8. Intellectual Property Rights
- All intellectual property rights in the programs, screen designs, images, text, logos, trademarks and everything else relating to the App and the Service belong to the Company or to third parties that have licensed their use to the Company. These Terms grant a non-exclusive, non-transferable right to use the App to the extent set out in these Terms and do not transfer those rights.
- The user must not reproduce, modify, transmit to the public, distribute or use for the creation of derivative works any copyrighted work relating to the App or the Service without the Company's prior written approval. The terms of use of third-party software included in the App are governed by their respective licence terms.
9. Disclaimer Regarding AI-Generated Content
- The translations, subtitles and minutes output by the Service (the "Output") are the result of automated generation by AI models and, as stated in Article 4, their accuracy and completeness are not warranted. The Output may contain content that differs from fact, inappropriate expressions or content that infringes the rights of third parties, and the Company does not warrant that the same input will always produce the same Output.
- Where the user provides the Output to a third party, publishes it or uses it as the basis for a business decision, the user is responsible for verifying its content in advance. The Company's liability for damage arising from use of the Output as it stands is as set out in Article 12.
- Ownership of rights in the Output is governed by Article 6, and the rights of the rights holder in the original work that was translated continue to apply to that original work.
- The Company may change the AI models used by the Service, their providers or the regions in which processing takes place in order to secure quality, cost or continuity. Where a change concerns provision to a third party in a foreign country, the Company will revise the Privacy Policy and, where necessary, ask for consent again.
10. Changes to, Suspension of and Termination of the Service
- The Company may change or add to all or part of the content of the Service without prior notice. Where a change has a material effect on users, notice is given in advance in accordance with Article 13.
- The Company may suspend all or part of the Service without prior notice where it carries out maintenance, inspection or updating of equipment, where provision becomes difficult due to force majeure or another accident, where a failure occurs in or the provision is stopped or changed of an external service on which the Service depends (speech translation, authentication, advertising delivery and the like), where it is necessary to respond to a security event, or where the Company otherwise determines that provision is difficult.
- The Company may terminate all or part of the Service. Where it terminates the whole Service, it will give notice at least 30 days before the termination date by notification within the App or another appropriate method (except where this is unavoidable due to legal requirements, the discontinuation of an external service or other compelling reason). On termination, the Account, User Content and Available Time can no longer be used, so users should save any User Content they need by the termination date.
- Where the user breaches these Terms, or where the Company determines that Article 2, Paragraph 5 applies, the Company may suspend use of the Service or delete the Account without prior notice. The Company will notify the reason for such a measure where appropriate; this does not apply, however, where the Company determines that notification is not appropriate, such as when responding to improper conduct.
11. Withdrawal and Deletion of the Account
- The user may request withdrawal (deletion of the Account) at any time from the settings screen of the App.
- At the point the request is made, the Company immediately places the Account in a suspended state, revokes all registered devices and sign-in states, and deletes any sharing links for minutes that have been issued.
- After 30 days have passed from the request, the Company erases the Account, registered devices, Credentials, encryption keys, translated text, minutes and their revision history. Records of grants and consumption of Available Time, records of AI usage, records of advertising rewards and audit logs are retained, with information identifying the user removed, because they are necessary for accounting and audit purposes.
- Before the 30 days have passed, you may contact dev@topcloud-japan.co.jp to discuss restoring the Account. Sharing links that have been deleted are not restored, however.
- On withdrawal, all unused Available Time is extinguished. Details of the handling of data and retention periods are described in Sections 7 and 9.3 of the Privacy Policy. Files of minutes exported to a device remain on the user's device after withdrawal, and managing them is the user's responsibility.
12. Disclaimer and Limitation of Liability
- The Company does not warrant, expressly or impliedly, the fitness for a particular purpose, merchantability, accuracy, usefulness or continuity of the Service, or that it does not infringe the rights of third parties.
- The Company is not liable for damage caused to the user by the following, except where there is wilful misconduct or gross negligence on the part of the Company.
- Errors in speech recognition, translation or minutes as set out in Article 4
- Defects arising from the user's device, operating system, communication environment or microphone
- Failure of, change in the specifications of, or discontinuation of an external service on which the Service depends
- Inadequate management of the Credentials by the user or use by a third party
- Change to, suspension of or termination of the Service under Article 10
- Natural disasters and other force majeure
- Where the Company is liable in relation to the Service, then except where there is wilful misconduct or gross negligence on the part of the Company, its liability is limited to ordinary and direct damage actually incurred by the user. The Company is not liable for lost profits, loss of business opportunity, loss of data, damage based on claims by third parties or other damage arising from special circumstances, including where the Company foresaw or could have foreseen its occurrence. The Service is provided free of charge, and the Company does not separately set a maximum amount of compensation.
- The preceding two paragraphs do not apply to the extent that, where the user is a consumer as defined in the Consumer Contract Act, they would be void under that Act or other mandatory law. In that case the Company is liable to the extent that it is made liable by that mandatory law.
- The Service is not the provision by the Company of interpretation or translation services between the user and a third party. The Company is not liable for the relationship between the user and meeting participants or other third parties, or for disputes arising between users or between a user and a third party.
13. Changes to These Terms
- Where a change conforms to the general interest of users, or where a change is not contrary to the purpose of the contract and is reasonable in light of the necessity for the change, the appropriateness of the content after the change and other circumstances, the Company may change these Terms without obtaining the individual consent of users, in accordance with Article 548-4 of the Civil Code.
- Where these Terms are changed, the Company will give notice of the content after the change and of the effective date by notification within the App or another appropriate method by the effective date. Where a change has a material effect on users, the Company will display the changed Terms within the App and may ask for agreement again, in which case the version of these Terms agreed to by the user and the date and time of that agreement are newly recorded per Account.
- If you do not agree to the changed Terms, please stop using the Service and withdraw in accordance with Article 11. Revision of the Privacy Policy is governed by Section 12 of the Privacy Policy.
14. Governing Law and Jurisdiction
- These Terms are governed by the laws of Japan.
- The Tokyo District Court shall have exclusive jurisdiction by agreement as the court of first instance over disputes relating to these Terms or the Service. This provision does not apply, to the extent of the restriction, where exclusive jurisdiction by agreement is restricted by the Consumer Contract Act or other mandatory law.
15. Contact
For enquiries about these Terms, reports of defects or vulnerabilities in the Service, and enquiries about Accounts, please contact dev@topcloud-japan.co.jp by email. Enquiries about the handling of personal information and requests for disclosure and the like should be made to the point of contact set out in Section 13 of the Privacy Policy.
16. Language
The Japanese text of these Terms is the authoritative text. Where the Company provides a translation into English or another language and there is any discrepancy between the translation and the authoritative text, the authoritative text prevails.
17. Effective Date and Revision Information
- This version: terms-v1
- Date of enactment: 2026-09-16
- Effective date: 2026-09-16
"This version" is the same value as the version identifier the Company uses to record agreement to these Terms. When the body is revised, both are updated to a new value at the same time, and in that case users are asked to agree to these Terms again at their next sign-in.
